PRIVATE SOFTWARE LICENSE - PNTF LAB AT UA

This Private Software License ("License") is entered into by and between PNTF Lab at the University of Alabama ("Licensor") and the members of the PNTF Lab ("Licensee") and others.

1. Grant of License:
   a. Licensor hereby grants Licensee, who is an active member of the PNTF Lab at the University of Alabama, a non-exclusive, non-transferable, revocable license to use, reproduce, and modify the software, Navigator, developed by Licensor, solely for academic and research purposes related to the activities of the PNTF Lab.

2. Restrictions:
   a. Licensee, unless specifically authorized in writing by Licensor, shall not sublicense, sell, distribute, or redistribute the software to any third party outside the PNTF Lab.
   b. Licensee shall not use the software for any commercial purposes or outside the scope of academic and research activities within the PNTF Lab.

3. Ownership:
   a. Licensor retains all rights, title, and interest in and to the software. This License does not grant Licensee any ownership rights to the software.

4. Confidentiality:
   a. Licensee agrees to keep confidential and not disclose to any third party any confidential information received from Licensor regarding the software.

5. Governing Law:
   a. This License shall be governed by and construed in accordance with the laws of the state of Alabama, USA, excluding its conflict of law provisions.

IN WITNESS WHEREOF, the parties have executed this License as of the date of acceptance by Licensee, acknowledging that the use of this software is limited to members of the PNTF Lab at the University of Alabama.
